1. Acceptance of Terms

By accessing or using the Omniasis Cardiac Rehab Coach mobile application, admin portal, hospital portal, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Omniasis, Inc. ("Omniasis," "we," "our," or "us").

2. Description of Service

Omniasis provides a remote cardiac rehabilitation monitoring platform that enables patients to perform clinician-prescribed exercises at home while their vital signs and exercise form are monitored by their healthcare team. The Platform includes:

  • Patient mobile application (iOS) for guided exercise sessions and vitals tracking
  • Apple Watch integration for real-time heart rate and workout monitoring
  • AI-powered exercise form analysis with real-time coaching feedback
  • Hospital portal for clinical staff to monitor patients and manage programs
  • Administrative portal for platform management
  • Real-time clinical alert system for critical health events
  • Integration with Bluetooth-connected health devices (blood pressure monitors, pulse oximeters, scales)

3. Medical Disclaimer

IMPORTANT: The Omniasis Platform is NOT a substitute for professional medical advice, diagnosis, or treatment.

The Platform is designed to be used under the supervision of qualified healthcare professionals as part of a structured cardiac rehabilitation program. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding your medical condition, exercise regimen, or treatment plan. Never disregard professional medical advice or delay in seeking it because of information provided by the Platform.

In case of a medical emergency, call 911 or your local emergency number immediately. The Platform's alert system is designed to supplement, not replace, emergency medical services.

The AI coaching features provide general exercise form guidance and should not be relied upon as a definitive assessment of your physical capabilities or limitations. Your healthcare provider's instructions always take precedence over any feedback provided by the Platform.

4. Eligibility and Access

  • You must be at least 18 years of age to use the Platform.
  • Patient access requires a valid registration code provided by a participating healthcare facility.
  • Patient accounts must be associated with an active cardiac rehabilitation program supervised by a licensed healthcare provider.
  • Hospital portal access is restricted to authorized clinical staff at participating healthcare organizations.
  • Administrative access is restricted to authorized Omniasis personnel.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

5. User Responsibilities

As a user of the Platform, you agree to:

  • Provide accurate and complete information during registration and throughout your use of the Platform
  • Follow exercise instructions and safety guidelines provided by your healthcare team and the Platform
  • Stop exercising immediately if you experience chest pain, severe shortness of breath, dizziness, lightheadedness, nausea, irregular heartbeat, or any other concerning symptoms, and contact your healthcare provider
  • Wear your Apple Watch or approved monitoring device during exercise sessions as directed
  • Keep your account credentials secure and not share them with others
  • Promptly notify your healthcare provider of any changes in your health condition, medications, or symptoms
  • Not attempt to access data belonging to other patients or organizations
  • Not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Platform
  • Not use the Platform for any unlawful purpose or in violation of these Terms
  • Maintain a stable internet connection during exercise sessions to enable real-time monitoring

6. Healthcare Provider Responsibilities

Healthcare providers using the Platform agree to:

  • Use the Platform in accordance with applicable medical standards of care and their professional judgment
  • Review and respond appropriately to alerts and notifications generated by the Platform in a timely manner
  • Maintain the confidentiality of patient data accessed through the Platform
  • Comply with all applicable HIPAA regulations and organizational policies
  • Ensure that only authorized staff members access the hospital portal
  • Properly configure patient exercise parameters, safety thresholds, and alert settings
  • Report any suspected security incidents, unauthorized access, or data breaches immediately to Omniasis

7. HIPAA Acknowledgment

The Platform processes Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act (HIPAA). By using the Platform:

  • Patients acknowledge that their health data will be collected, stored, and transmitted to their authorized healthcare providers through the Platform in accordance with our Privacy Policy and applicable HIPAA regulations.
  • Healthcare organizations acknowledge that they have entered into a Business Associate Agreement (BAA) with Omniasis prior to accessing patient data through the Platform.
  • All users acknowledge that they will handle PHI in accordance with HIPAA requirements and will report any suspected breaches or unauthorized disclosures immediately.

Omniasis maintains comprehensive administrative, technical, and physical safeguards to protect PHI as described in our Privacy Policy.

8. Intellectual Property

The Platform, including its software, algorithms for exercise form assessment, cardiac safety monitoring, multi-modal vital sign correlation, user interface design, documentation, and all related content, is the property of Omniasis, Inc. and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Patent pending. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Platform.

9. Data Ownership

Patients retain ownership of their personal health information. By using the Platform, patients grant Omniasis a limited license to collect, process, store, and transmit their health data for the sole purpose of providing cardiac rehabilitation services as described in our Privacy Policy. This license is revocable upon account termination, subject to legal data retention requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNIASIS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, PERSONAL INJURY, OR DEATH, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

The Platform is designed to support, not replace, clinical decision-making by qualified healthcare professionals. Omniasis does not guarantee the accuracy of AI-generated coaching feedback or automated vital sign analysis. Clinical decisions remain the sole responsibility of the supervising healthcare provider.

IN NO EVENT SHALL OMNIASIS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU PAID TO OMNIASIS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Omniasis, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Service Availability

We strive to maintain Platform availability but do not guarantee uninterrupted, error-free, or secure access. We may temporarily suspend the Platform for maintenance, updates, security patches, or circumstances beyond our control. We will make commercially reasonable efforts to provide advance notice of planned downtime. You acknowledge that temporary service interruptions may occur and that the Platform should not be relied upon as the sole means of health monitoring.

13. Account Termination

We may suspend or terminate your access to the Platform under the following circumstances:

  • Violation of these Terms of Service
  • Completion or discontinuation of your cardiac rehabilitation program
  • Request by your healthcare provider or healthcare organization
  • Suspected unauthorized access or security breach
  • Non-payment of applicable fees by the subscribing healthcare organization
  • At your own request

Upon termination, your right to use the Platform ceases immediately. You may request a copy of your health data prior to termination. Data retention following termination is governed by our Privacy Policy and applicable law.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OMNIASIS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under or in connection with these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform, via email, or by posting a prominent notice. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must discontinue use of the Platform.
